STUTTGART, 29 November 2012. RIB Software AG announced today the strategic acquisition of the controlling interest of U.S.COST (www.uscost.com). The companies have not disclosed the purchase price. Like RIB, U.S.COST is one of the leading technology companies in the software and consulting markets of the global construction sector. The head office is located in Atlanta, Georgia. Further U.S. COST subsidiaries are in New York, Los Angeles, Arlington, VA, Miami, Dallas, Phoenix, San Diego and Orlando. While RIB’s September 2012 acquisition MC² from Memphis focuses on top 1000 American contractors, U.S. COST focuses on the American owners, architects and engineers. U.S.COST has successfully delivered the software and consulting services for thousands of large American construction projects.

The acquisition is part of the RIB Software AG’s strategy to integrate the RIB 5D BIM ERP Technology "iTWO" into leading American software solutions, to win top management and extensive client networks and to be a leading player in the ongoing consolidation process in this sector.

With the acquisition RIB Group increases its international global consulting and project management capacity by 200 %.

RIB acquires a leading Cloud software provider in Australia

STUTTGART, 28 September 2012. RIB AG proudly announces the completion of the
acquisition of the Cloud (SaaS) Software company CADX Pty Ltd. trading as
ProjectCentre in Sydney Australia. The company offers the newest cloud based
collaboration technology. The forum based technology is the newest trend and also
used by companies such as Facebook, LinkedIn and Renren China. Project Centre
has secured contracts to provide online collaboration and project management
solutions for over 2500 projects and is daily used by thousands of Cloud users. The
software is supporting megaprojects with a project volume over 3 Billion Euro.
ProjectCentre is a fast growing and well positioned cloud software company with a
strong management, that could grow the cloud business from 1,4 to 5 Million US
Dollars in the past years. Main competitor is Aconnex, Melbourne. In September
2008, Aconnex announced, that the financial investor Francisco Partners, invested
107 M US Dollar in return for a minority ownership share in the Australian cloud
software company.

RIB will combine the collaboration software and its leading BIM 5D solution "iTWO".
and furthermore, offer the new advanced 5D and cloud based BIM integrated project
delivery platform (IPD) to its 15,000 global clients with a focus on its top 1000
investors and contractors in the EU (RIB AG Stuttgart), the top 1000 clients in USA
(RIBMC² Ltd.Memphis) and the top clients in China, Middle East and South East Asia.

The global construction industry is growing and will reach in 2020 approximately
over 10 trillion US Dollar. RIB believes Cloud based 5D technology and SaaS
(Software as a Service) solutions can create a new market of up to 1% of the global
construction industry output or up to 100 Billion US Dollars in 2020.

With the acquisition of MC² on 10.September2012 and Project Centre on 28
September 2012, the execution of the RIB 2011 IPO targets are gaining momentum.
"We have shown, that we are moving faster than most of the software players in our industry and we have chosen the right steps to create the global market leader for
Cloud based 5D technology and SaaS in the future", said Thomas Wolf, the Hong
Kong based CEO of RIB AG.

Even if the third quarter was not as good as 2011, in which period RIB has closed 2
big contracts with a total contract amounting over 3,5 Million US Dollars, RIB AG will
reach approximately consolidated net profit Q1 - Q3 increase to over 6 Million Euro
(2011 5,4 M Euro adjusted for IPO costs), calculated with an expected income tax
rate between 28% and 32%. RIB is targeting 2 more phase II enterprise deals with an
average volume over 1 Million US Dollar in Q4. "If we can reach the closing of 2 more
deals, RIB management will deliver in-line with the market expectations in 2012",
states by the Group CFO Michael Sauer.
